Senior Equity Compensation Consultant

As an equity compensation consultant, you can work with a variety of companies in administering and managing their employee stock option, stock purchase, and restricted stock programs.  Responsibilities range from day-to-day operational administration to complex analysis of client needs, project management, and guidance with high-level equity compensation issues.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

  • You will be performing high-level day-to-day stock administration operations and managing the activities for a range of equity offerings, including RSUs, RSAs, stock options, ISOs, NQs, ESPPs, and performance shares
  • Reviewing policies and procedures: evaluating, recommending, implementing, documenting
  • You will be resolving and researching high-end problems
  • Actively coordinating the of process and decision with other internal departments (HR, Payroll, Tax, Legal), vendors, as well as other external relationships
  • Financial reporting generation and customization
  • You will be responsible for Section 16 tracking, reporting, compliance: expertise in Forms 3, 4 & 5
  • Managing basic international stock plans
  • Developing and deploying employee communications
  • You will be responsible for Securities laws issues: Rule 701, Rule 144 (in relation to acquisitions, private companies, executives)
  • Working with private company services (shareholder tracking, capitalization tables, IPO transitioning)
  • Ability to work independently with minimal supervision
  • Understanding and analyzing client’s business requirements at micro as well as macro levels and making recommendations as needed
  • Reviewing various types of client documentation, compiling summaries, and evaluating information to identifying key issues
  • Preparing written materials and finalizing deliverables to client
  • Working closely with detailed project work scopes, timelines, and deliverables based on client requirements
  • Managing multiple projects simultaneously
  • Assisting with special projects, and various ad hoc assignments

MINIMUM QUALIFICATIONS AND EXPERIENCE:

  • Bachelor’s degree or equivalent, MBA desired
  • Four to eight years experience in corporate stock administration with a strong understanding of business, regulatory, and technical requirements at an operational and potentially strategic levels; experience on the vendor side a plus
  • Strong industry knowledge, including major trends and services offered by specific resources in the marketplace
  • Excellent writing skills, including grammar, spelling, and presentation (samples of work requested)
  • Strong organization, attention to detail, verbal and written communications, and interpersonal skills
  • Able to manage multiple tasks and deadlines effectively and efficiently and follow project workscopes, timelines, and deliverables
  • Flexibility to work a non-standard work schedule and adapt to changing requirements in mid-project lifecycle
  • Proficient with MS Office applications (Word, Access, PowerPoint, and Project) and expertise in a minimum of one equity plan platform
  • Expert in MS Excel
  • Experience in equity related field, such Finance, Accounting, Taxation, Legal, or HR
  • CEP Level III desired
